Why ownership mid-negotiation is a collateral problem
Collateral value depends on two things: what the asset is worth and who legally owns it at the moment the security is granted. When those two facts are in flux simultaneously, a lender faces a window of uncertainty. Polish land registers operate on a principle of public faith — but that faith attaches to what is entered, not what is pending.
A mortgage can only be validly constituted against the owner of record. If the transfer has been submitted but not yet entered, the person granting the mortgage may not yet be the registered owner. The report documents this interval with precision: submission date, current register status, and the nature of any pending notation.
What the register chain covers
The report draws from three primary sources for a Polish asset in mid-transfer:
- Księgi Wieczyste (KW) — land and mortgage register. Shows owner of record, all mortgage entries (Section IV), limited rights (Section III), and any pending applications noted in the margin.
- Rejestr Zastawów — registered pledges on movable property and rights. Searched by debtor name against both the seller and the buyer entity.
- Krajowy Rejestr Sądowy (KRS) — corporate register. Confirms the legal identity and current representation authority of both transferring parties.
The sequence of extraction matters
A single extraction at one point in time produces a static picture. For assets in active transfer, the report notes the extraction timestamp and flags any pending notations visible in the register at that moment. If a second extraction is needed to confirm that a pending entry has been processed, that is specified in the Extended tier.
The KW register displays pending applications in a separate field before they are formally entered. This field is legally significant: it signals that a third party has already submitted a claim or transfer that will affect the register once processed. The report captures and translates this field in full.

The limit of what the sources allow
Polish land registers operate on a principle of public faith in registered entries. That principle does not extend to entries that have been submitted but not yet processed. The report identifies every pending notation visible at extraction. It does not predict when pending entries will be formalised — that interval is set by court processing times and is not published in advance.
The Rejestr Zastawów is searched by the name of the debtor. If the pledge was registered against a legal predecessor, a dissolved entity, or an individual using a variant name spelling, the search may not surface it. The report states the exact search terms used and the result returned.
Encumbrances constituted under foreign law — including pledges registered in another EU member state — do not appear in Polish registers. The report cannot establish what is not registered in Poland. That boundary is stated before payment, not after.
Where the sources disagree
Discrepancies arise when the KRS shows a new owner of the corporate entity while the KW still reflects the previous natural or legal person as owner of record. This is not an error in either register: it reflects the processing lag between submission and entry. The report documents both register states with timestamps and identifies the gap explicitly.
A second common discrepancy: the Rejestr Zastawów shows a pledge against the seller that the seller's own documentation describes as released. If the release has not been entered in the pledge register, the pledge remains on record. The report states the register position; it does not resolve the contractual dispute.

Can the report confirm that a pledge has been released?
The report states what the Rejestr Zastawów shows at the moment of extraction. If a release application has been submitted but not entered, the pledge remains on record. That discrepancy is noted. The report does not determine whether the underlying release is contractually valid.
What if the asset is held through a Polish company rather than directly?
The KW shows the registered owner of the real property — which may be the company rather than its shareholders. The KRS shows the company's current shareholders and management. The Standard and Extended tiers include KRS extraction. Beneficial ownership beyond the first corporate layer is not established by these registers.
Is the land register publicly accessible?
The Księgi Wieczyste online system is publicly accessible and free of charge for anyone who holds the KW number.
