Shares and participations in a Polish company are a common form of collateral in cross-border lending and acquisition finance. The value of that collateral depends on two variables: what the company actually owns, and what already encumbers it. Both are partially visible in Polish public registers — partially, not completely. This page maps what the registers show, what they do not, and what a structured report establishes before a credit decision is made.

What the collateral picture requires

Shares and participations (udziały in a spółka z o.o., akcje in a spółka akcyjna) are not registered as such in a single title register. Their value is derived from the underlying company. A collateral assessment therefore requires reading across four separate registers simultaneously: KRS for corporate structure and authorised capital, Rejestr Zastawów for registered pledges over shares, Rejestr Zastawów Skarbowych for fiscal liens, and KRZ for insolvency proceedings. No single search covers all four.

Two of those registers are free and require no login. Two carry per-document fees. A complete first-pass check — before any document review — costs between 55 PLN and 135 PLN in official tariffs alone, depending on how many objects are queried. The path to those fees, however, requires a Polish national identifier, a registered address, and in some cases an electronic signature. That path is the friction a foreign lender or buyer faces before reaching the data.

Corporate structure: what KRS shows

KRS is public and free. The register shows the company's legal form, registered capital, registered address, management board composition, supervisory board (where applicable), and — for spółka z o.o. — the list of shareholders with share counts and values. For spółka akcyjna, bearer shares are not listed individually; registered shares appear in the shareholder register held by the company, not in KRS.

A certified extract (odpis) costs approximately 30–60 PLN from the Centralna Informacja KRS. The free online version is legally sufficient for most due diligence purposes but is not court-certified. For lending documentation, the certified extract is standard.

Financial statements filed with RDF are accessible free of charge alongside the KRS record. Not every company files on time. The absence of a recent statement in RDF does not confirm that no statement exists — it may indicate a filing delay or a pending enforcement action by the registry court.

Pledge registers: two systems, one collateral profile

Poland operates two separate pledge registers. They serve different creditors and are searched independently. Neither search substitutes for the other.

Polish pledge registers — key parameters
Register Administering body Covers Search fee Certificate fee Access path
Rejestr Zastawów Ministry of Justice · Centralna Informacja Civil registered pledges (zastawy rejestrowe) over movables, shares, receivables 20 PLN per subject (DW-1) or object (DW-2) 15 PLN per extract (DW-4) Written application; Polish address or representative required
Rejestr Zastawów Skarbowych Ministry of Finance · e-Urząd Skarbowy Fiscal liens arising from unpaid taxes Free 50 PLN (wypis/zaświadczenie) Online via e-Urząd Skarbowy; Polish tax identifier required for full access

A registered pledge (zastaw rejestrowy) over shares is a common security instrument in Polish acquisition finance. It grants the pledgee priority over the pledgor's other creditors. The pledge is effective against third parties from the moment of registration in Rejestr Zastawów — not from execution of the pledge agreement. An unregistered pledge does not appear in the register and confers no priority.

A fiscal lien (zastaw skarbowy) arises automatically when a tax liability exceeds a statutory threshold. It attaches to the debtor's property without court order or registration formality. The Rejestr Zastawów Skarbowych is the only public record of these liens. A clean civil pledge register does not exclude a fiscal lien.

Insolvency and restructuring

KRZ (krz.ms.gov.pl) is the central insolvency register. It is public, free, and requires no login. Search is available by NIP, KRS number, PESEL, or case signature. The register shows active and closed proceedings: bankruptcy, restructuring, and debt relief.

KRZ covers proceedings opened after 1 December 2021. Proceedings opened before that date were published in the Monitor Sądowy i Gospodarczy (MSiG). The MSiG archive is searchable free of charge at wyszukiwarka-msig.ms.gov.pl. A clean KRZ result for a company incorporated before December 2021 requires a parallel MSiG check. Omitting that check leaves a gap in the insolvency timeline.

VAT status and bank accounts

The Biała lista (White List) maintained by the Head of the National Revenue Administration is free and requires no login. It shows current VAT registration status, the company's declared bank accounts, and the history of exclusions and reinstatements with dates. Verification against a specific past date is available.

For a lender, the bank account data in the White List matters: a payment made to an account not listed there triggers joint and several VAT liability for the payer. The White List therefore informs both credit risk and payment mechanics.

Beneficial ownership

CRBR is open, free, and requires no account. It shows the reported beneficial owner, the basis of control, and the date of the last update. The register reflects self-reported data. It does not verify the accuracy of the declaration. Discrepancies between CRBR and the KRS shareholder list are possible and are themselves a finding.

The limit of what the sources allow

The registers establish existence and priority of recorded encumbrances. They do not establish value. A registered pledge over shares in a company with negative equity is a registered pledge over shares in a company with negative equity — the register records the lien, not the asset quality behind it. Collateral value requires financial statement analysis alongside the lien search.

Three specific gaps apply to this asset class in Poland. First, the civil pledge register and the fiscal pledge register are separate systems. A search of one does not cover the other. Second, KRZ covers insolvency proceedings from December 2021 forward. Pre-2021 proceedings require a separate MSiG search. Third, for spółka akcyjna with registered shares, the shareholder register is held by the company — not by KRS. It is not a public document. The identity of shareholders in a joint-stock company is not confirmable from public sources alone.

The CRBR beneficial ownership declaration is self-reported. Where the declared structure differs from the KRS shareholder list, both records are presented. The register does not resolve the discrepancy — it records it. Resolving it requires document review beyond what the register shows.

Where the sources disagree

Three types of disagreement arise regularly in this asset class. First, CRBR and KRS may show different ownership structures — the declared beneficial owner may not match the registered shareholder list. Second, the financial statements in RDF may show assets that appear encumbered in neither pledge register, or pledges in the register that do not appear in the notes to the accounts. Third, KRZ may show no active proceeding while MSiG shows a historical restructuring that affected the same entity under a prior name or registration number.

Each of these disagreements is a finding in itself. A report that presents only clean results from individual registers, without cross-referencing, does not establish a clean collateral profile.

Frequently asked questions

Is the KRS register free?

The online KRS search and the uncertified extract are free of charge and require no login or registration. A certified extract (odpis) from Centralna Informacja KRS carries a per-page fee in the range of 30–60 PLN. This register is public and free of charge for basic access. What a structured report provides is the removed path: Polish national identifier, language, cross-register sequencing, and a findings memo in English.

Does a clean pledge register mean no encumbrances?

No. The civil pledge register (Rejestr Zastawów) and the fiscal pledge register (Rejestr Zastawów Skarbowych) are separate systems. A clean result in one does not exclude entries in the other. Both must be searched to establish a complete encumbrance profile.

Can the identity of shareholders in a Polish joint-stock company be confirmed publicly?

For spółka z ograniczoną odpowiedzialnością (sp. z o.o.), the shareholder list is filed with KRS and is publicly accessible. For spółka akcyjna (S.A.) with registered shares, the shareholder register is maintained by the company or a licensed depository — it is not a public document. Public registers do not confirm the identity of S.A. shareholders.

What does the insolvency register cover?

KRZ covers proceedings opened after 1 December 2021. Proceedings opened before that date were published in the Monitor Sądowy i Gospodarczy (MSiG). A complete insolvency check for a company with any operating history before 2022 requires both sources.

Are CRBR beneficial ownership declarations verified?

No. CRBR records self-reported declarations. The register does not verify accuracy. Where the CRBR declaration differs from the KRS shareholder list, the Standard and Extended reports map that discrepancy explicitly. The Extended report includes a document-based resolution memo.
