A share or participation interest in a Polish company is a financial asset. Its value as collateral depends on what the underlying entity actually owns, what already encumbers it, and whether the interest itself is transferable. Official registers answer each of those questions only partially. This page states what can be established, from which source, and where the chain of verification stops.
- What the sources show
- Legal existence, registered share capital, named partners or shareholders with nominal values, and any pledges over shares recorded in the National Court Register (KRS). Source: Krajowy Rejestr Sądowy (KRS) · verified 2026-08-13
- Cost of access
- KRS search and document download: no charge via ekrs.ms.gov.pl. Certified extracts carry a court fee established by the Ministry of Justice tariff.
- Condition of access
- No registration required for electronic search. Certified paper extract requires a formal application and payment of the applicable fee.
- What the sources do not show
- Actual market value of the interest, undisclosed encumbrances, shareholder-level pledges not yet registered, and off-balance liabilities of the underlying entity.
What a share or participation interest represents as security
A participation interest in a Polish spółka z ograniczoną odpowiedzialnością (sp. z o.o.) and a share in a spółka akcyjna (S.A.) are legally distinct instruments. Their treatment as collateral differs accordingly. The KRS records the registered capital structure, the names and addresses of board members, and the registered seat. For an S.A. whose shares are dematerialised, the register of shareholders is held by the National Depository for Securities (KDPW) or by an authorised entity, not by the KRS.
The pledge over shares in an S.A. or over participation interests in an sp. z o.o. must be registered to be effective against third parties. Registration is made in the Register of Pledges (Rejestr Zastawów) administered by the district courts. A search of that register establishes whether a registered pledge exists. It does not establish whether an unregistered contractual pledge or a transfer for security (przewłaszczenie na zabezpieczenie) has been agreed privately.

Beneficial ownership: what CRBR discloses
Poland's Central Register of Beneficial Owners (CRBR) is a public, searchable database. It records the declared ultimate beneficial owner, the percentage threshold of ownership or control, and the legal basis. The register is free to search. What is paid for is the removed path: obtaining the Polish NIP or KRS number for an unfamiliar entity, navigating the Polish-language interface, and cross-referencing the declared entry against the corporate documents held in KRS.
CRBR entries are self-declared by the obligated entity. The register does not independently verify accuracy. A discrepancy between the CRBR entry and the KRS shareholder list is itself a finding. That discrepancy is reported as a fact, not interpreted as to its cause.
Insolvency and restructuring status
A share or participation interest in an entity subject to insolvency or restructuring proceedings carries materially different risk. The National Insolvency Register (Krajowy Rejestr Zadłużonych, KRZ) records opened proceedings, appointed administrators, and approved arrangements. A negative result in KRZ does not exclude a filed but not yet published application. The lag between filing and publication is a structural feature of the register, not an exception.
The limit of what the sources allow
Official registers establish legal structure and recorded encumbrances. They do not establish economic value. The gap between registered nominal capital and current market value of a participation interest can be substantial. No Polish public register publishes a current valuation of a private company's equity.
Unregistered encumbrances — contractual pledges not yet filed, transfers for security, drag-along obligations in shareholder agreements, and option agreements — are invisible to register searches. Their existence requires review of the underlying transaction documents, which are private. Shareholder agreements in Polish sp. z o.o. structures are not filed with any public authority.
The KDPW register for dematerialised S.A. shares is not directly accessible to a foreign party without an authorised intermediary. The ceiling of what the sources allow is stated before payment. Where a register stops, the report names that point explicitly.

Where the sources disagree
A mismatch between the CRBR declared beneficial owner and the KRS shareholder list is the most common discrepancy encountered in Polish entity checks. It may reflect a recent share transfer not yet updated in one register, a complex indirect holding structure, or an inaccurate filing. The report records the discrepancy as a fact and states which register shows what. No cause is attributed.
A second common discrepancy arises between filed financial statements and registered share capital. Paid-in capital recorded in the balance sheet may differ from nominal capital in the KRS if capital increases have been resolved but not yet registered, or if contributions in kind have been valued differently. The report flags the numerical gap and identifies which document carries each figure.
Frequently asked questions
Does a KRS extract confirm that no pledge exists over the participation interests?
No. The KRS records pledges that have been formally registered. An unregistered contractual pledge, a transfer for security, or a pledge filed but not yet processed may not appear. A Rejestr Zastawów search is a separate step and covers only registered financial pledges.
Is the CRBR entry legally binding proof of ownership?
No. CRBR entries are self-declared. The register does not verify accuracy. The entry is a starting point for comparison against KRS documents and filed shareholder lists, not a final answer on ownership.
Can the report provide a valuation of the participation interest?
No tier of this report includes a valuation or fair value opinion. The report establishes the structural and encumbrance picture from official sources. Valuation requires a separate engagement with a qualified valuer.
How long does it take to obtain the findings?
Signal and Standard reports are typically delivered within three to five business days from receipt of the target entity's identifying details. Extended reports, particularly where an KDPW intermediary inquiry is involved, may require up to ten business days. Timelines are confirmed at the point of instruction.
What identifying information is needed to begin?
The KRS number (numer KRS) or the tax identification number (NIP) of the target entity is sufficient to initiate all register searches. If neither is available, identification can be attempted by registered name and registered seat, subject to confirmation of the correct entity.
