A lender or buyer financing against a Polish asset needs to know two things before committing funds: what the collateral is actually worth, and what already encumbers it. Both answers come from official registers. Neither answer is complete without knowing where each register stops.

Why document verification is the collateral check

Collateral value depends on what can actually be enforced. A mortgage registered in the land register ranks by date of entry, not by date of the underlying loan agreement. A pledge over machinery is only effective against third parties from the moment it appears in the Rejestr Zastawów. An asset held by a company already in restructuring proceedings is encumbered in a way no valuation report will show.

Document verification answers the prior question: does the security interest exist, does it rank where the parties believe it ranks, and is it free from competing claims that were filed before this transaction? Valuation answers a different question and presupposes a clean answer to the first.

The seven documents to pull before financing

The checklist below is ordered by register, not by importance. Every item applies to standard secured lending on a Polish asset.

Document Register What it confirms What it does not show
Current land register excerpt (odpis aktualny) Księga wieczysta Owner of record, all mortgage entries with rank and amount, easements, rights of third parties entered in sections III and IV Informal possession arrangements, unregistered usufructs, claims not yet filed for entry
Full land register excerpt (odpis zupełny) Księga wieczysta Complete historical record of all entries and deletions since the register was opened Pre-register ownership history; entries from predecessor registers not yet migrated
Registered pledge search certificate Rejestr Zastawów All registered pledges over the named asset or debtor; rank order among competing pledges Financial pledges (zastaw finansowy) under the Act on Financial Collateral, which are not entered here
KRS current printout KRS Legal existence, registered address, share capital, management board, representation rules, statutory restrictions on asset disposal Beneficial ownership beyond the registered shareholder layer; informal agreements among shareholders
KRZ search result Krajowy Rejestr Zadłużonych Any filed insolvency, restructuring, consumer debt-relief, or enforcement proceedings against the debtor or asset owner Proceedings filed but not yet entered; foreign proceedings not yet recognised in Poland
CRBR extract CRBR Declared ultimate beneficial owner(s) of the Polish legal person; basis of the declaration Accuracy of the declaration; beneficial owners of non-Polish entities in the chain
Tax clearance certificate (zaświadczenie o niezaleganiu) Tax authority (US/UCS) No outstanding tax arrears as of the certificate date Tax liabilities not yet assessed; pending audit results; local municipal charges

Mortgage rank: how the register determines priority

Polish mortgage law follows the principle of priority by date of entry, not date of agreement. A mortgage applied for on the day of signing ranks behind every mortgage already entered, regardless of when those earlier loans were drawn down.

The land register shows the rank number of each mortgage in section IV. Where two mortgages carry consecutive ranks, the lower number takes priority in enforcement proceeds. The register does not show the outstanding balance of a competing mortgage — only the registered ceiling amount (suma hipoteczna). A lender relying on second-rank security needs to assess the full ceiling of the first-rank entry, not the drawn balance.

Pending applications for entry are visible in the register as notices (wzmianki). A wzmianka signals that an entry is in process but not yet finalised. The final ranking is not confirmed until the wzmianka is cleared.

Registered pledges and financial collateral: a structural distinction

Two separate legal frameworks govern pledges over movable assets in Poland. The Rejestr Zastawów covers pledges established under the Act on Registered Pledges and the Pledge Register. These are publicly searchable by asset or debtor.

Financial pledges (zastaw finansowy) under the Act on Financial Collateral Arrangements are not entered in any public register. Their existence and terms are contractual only. A search of the Rejestr Zastawów returning no results does not confirm that the asset is unencumbered by a financial pledge. Confirmation requires review of the transaction documents and representations from the asset owner.

Insolvency and restructuring: what KRZ shows and when it updates

The Krajowy Rejestr Zadłużonych replaced the previous insolvency register in 2021. It consolidates insolvency, restructuring, and consumer debt-relief proceedings in a single searchable database.

A search returning no result does not confirm the absence of a filed application. The register reflects entries, not filings. A petition filed with the court but not yet entered is not visible. The gap between filing and entry varies. For any transaction where the counterparty's solvency is material, a KRZ search establishes a baseline as of the search date only.

Restructuring proceedings (postępowanie restrukturyzacyjne) impose restrictions on asset disposal once opened. A company in accelerated arrangement proceedings (postępowanie o zatwierdzenie układu) may retain management rights but cannot sell or encumber core assets without court or supervisor approval. The KRS entry for the company will show the appointment of a court supervisor (nadzorca sądowy) or administrator (zarządca) once entered — but the KRZ entry will show the proceeding itself.

Where the sources disagree

Cross-register inconsistencies appear in practice. The most common pattern: the KRS shows a company as the registered shareholder of a subsidiary, while the CRBR shows a different individual as ultimate beneficial owner, with no disclosed chain connecting the two. Both entries may be current and formally valid. The discrepancy does not resolve itself; it requires document review of the intermediate holding structure.

A second pattern involves the land register and the company register. The land register may show a legal person as owner under a name that no longer matches the KRS entry following a corporate transformation or merger. Both registers are authoritative within their scope. Neither automatically updates the other. Verifying that the entity in the land register is the same legal person as the current KRS entry requires a chain of transformation documents.

A third pattern: the tax clearance certificate is issued as of a specific date. The land register excerpt is pulled on a different date. The pledge register certificate carries a third date. For enforcement purposes, the relevant date is the date of each document, not a single unified snapshot. Time gaps between documents are gaps in the factual record.

The limit of what the sources allow

Each register answers a defined question and stops there. The land register shows what has been entered; it does not show what has been agreed but not filed, what is in transit between application and entry, or what encumbrances arise by operation of law without registration. The Rejestr Zastawów shows registered pledges; it does not show financial pledges, retention-of-title clauses, or set-off arrangements. The CRBR shows declared beneficial owners; it does not verify the accuracy of the declaration or trace ownership through non-Polish entities in the chain.

Tax clearance certificates confirm no arrears as of the certificate date. They do not cover liabilities under ongoing audit, disputed assessments, or municipal charges held by local authorities rather than the national tax authority. Social security arrears (ZUS) require a separate certificate from the Social Insurance Institution.

No combination of register searches produces a guarantee of clean title. Each search establishes a factual baseline as of the date pulled. The ceiling of what the sources allow is stated before payment — so the scope of the report and its limits are known at the outset, not discovered after delivery.

Conducting the search as a foreign entity

Several Polish registers are publicly accessible online without registration. The land register system (ekw.ms.gov.pl) requires the land register number (numer księgi wieczystej) to retrieve the relevant folio. This number is not always disclosed voluntarily by the counterparty; it must be located from the property address or cadastral parcel number through a separate query.

The KRS is searchable by company name, NIP (tax identification number), or KRS number. The KRZ is searchable by name, PESEL (personal identification number for individuals), or NIP. A foreign lender without the Polish identifiers for the debtor or asset owner cannot complete these searches without assistance.

Certified excerpts from the land register and the Rejestr Zastawów are issued in Polish. Certified translations are required for use in foreign proceedings or for submission to foreign lenders and their legal counsel. The translation adds time and cost to the verification timeline.

Sequence and timing

Step Register / source Purpose Dependency
1 KRS Confirm legal existence and ownership of the asset-holding entity None — starting point
2 CRBR Identify declared beneficial owner(s) KRS number from step 1
3 KRZ Screen for insolvency and restructuring proceedings NIP or PESEL from step 1
4 Księga wieczysta Pull current and full excerpts; identify all encumbrances and pending applications Land register number — may require separate location step
5 Rejestr Zastawów Search for registered pledges over the asset or against the debtor Asset description or debtor NIP from step 1
6 Tax authority / ZUS Obtain tax and social security clearance certificates Counterparty cooperation required — not unilaterally obtainable
7 Cross-register review Identify and document discrepancies between registers All prior steps complete

Steps 6 requires counterparty cooperation. Steps 1 through 5 can be conducted unilaterally from publicly accessible registers, subject to having the correct identifiers. Step 7 is an analytical step, not a further register query.

Frequently asked questions

Can a foreign lender pull these registers directly?

Most of the registers are publicly accessible online. The practical barriers are the Polish-language interface, the need for Polish identifiers (NIP, PESEL, KRS number, land register number), and the requirement for a certified excerpt rather than a screen printout for use in formal proceedings. A foreign lender can view the registers; obtaining certified documents and interpreting cross-register discrepancies requires local assistance.

How current is the land register?

The online system at ekw.ms.gov.pl reflects entries as processed by the relevant district court. Applications pending entry appear as wzmianki (notices). The excerpt is current as of the moment of retrieval. A mortgage applied for after the excerpt is pulled will not appear in that excerpt. For time-sensitive transactions, the excerpt should be pulled as close to the signing date as practicable.

Does a clean KRZ result mean the counterparty is solvent?

No. The KRZ shows proceedings that have been entered. A petition filed but not yet entered is not visible. A company experiencing financial difficulty but not yet the subject of any formal proceeding will not appear. A clean KRZ result establishes that no entered proceeding exists as of the search date. It does not establish solvency.

What is the CRBR and how reliable is the information?

The Centralny Rejestr Beneficjentów Rzeczywistych is Poland's register of ultimate beneficial owners, maintained under the AML framework. Entities are required to file and update their beneficial owner declarations. The register shows the declared beneficial owner and the legal basis for the declaration. It does not independently verify the accuracy of the declaration. Discrepancies between the CRBR entry and the actual ownership structure are a compliance risk for the filing entity, not a guarantee of accuracy for the reader.

Are financial pledges (zastaw finansowy) searchable anywhere?

No. Financial pledges established under the Act on Financial Collateral Arrangements are not entered in any public register. Their existence is confirmed only through document review and contractual representations. A clean Rejestr Zastawów search does not rule out a financial pledge over the same asset.
