A document submitted as a contribution in kind carries the same collateral burden as any other asset. Before the contribution closes, the receiving entity needs to know what the document actually represents, whether it is encumbered, and whether the chain of title holds under Polish law. These questions are answered from official registers — not from the contributor's representations.

What the registers show
Title, encumbrances, and registered restrictions on documents held in Polish land and mortgage registers. Source: Elektroniczne Księgi Wieczyste (EKW) · verified 02.06.2026
Access condition
Land register number (numer KW) required. Without it, a search cannot be initiated.
What the registers do not show
Off-register encumbrances, unregistered pledges, and contractual restrictions that have not been lodged. No structured data export is available; output is a rendered screen view.
Beneficial ownership
CRBR (Central Register of Beneficial Owners) records the declared ultimate beneficial owner. Declaration accuracy is not verified by the register itself.

What a document contribution requires before closing

A contribution in kind (aport) of a document — a receivable, a promissory note, a security instrument, or a contractual right — transfers whatever the document actually represents, including its defects. Polish law does not cure title defects at the moment of contribution. The receiving entity inherits the encumbrance.

Verification therefore runs in two directions: what the document evidences and what already encumbers that underlying right. Both questions have register sources. Neither is answered by reviewing the document alone.

Register sources for Polish document collateral

The table below maps each verification question to its source register. Where a register is publicly accessible, the access condition is stated. Where it is not, the mechanism for obtaining a certified extract is described.

Verification question Register Access condition What it does not show
Is the underlying right registered? Elektroniczne Księgi Wieczyste (EKW) KW number required; public online search Off-register encumbrances; unregistered restrictions
Is the document issuer solvent? Krajowy Rejestr Zadłużonych (KRZ) Public search by name or NIP/KRS number Filed applications not yet processed; foreign insolvency proceedings
Is the issuer registered and active? Krajowy Rejestr Sądowy (KRS) Public search; certified extract available Beneficial ownership chain beyond declared layer
Who is the declared beneficial owner? CRBR Public search by entity name or NIP Accuracy of declaration; undisclosed intermediaries
Is there a registered pledge over the document? Rejestr Zastawów Search by pledgor name or PESEL/KRS; fee applies Unregistered contractual pledges; foreign-law security
Is the issuer on a sanctions list? Lista sankcyjna MSWiA / EU consolidated list Public search Indirect exposure through ownership chain

The collateral angle: what encumbers the document itself

A document can be pledged under Polish law in two forms: a registered pledge (zastaw rejestrowy) lodged in the Rejestr Zastawów, or a civil-law pledge (zastaw zwykły) which is not registered and therefore not searchable from public sources. The registered pledge is the only one visible before closing.

A receivable assigned as collateral may carry a contractual prohibition on further assignment. That prohibition is not registrable. It appears only in the underlying contract. Without reviewing the contract, the register search is incomplete.

Where the document evidences a right secured by a mortgage (hipoteka), the mortgage is registered in the land and mortgage register of the underlying property. The mortgage follows the property, not the document. A transfer of the document does not extinguish the mortgage.

Insolvency status of the document issuer

Krajowy Rejestr Zadłużonych (KRZ) is the primary source for insolvency and restructuring proceedings in Poland. A negative result — no entry found — does not confirm the absence of a filed application. Applications are processed with a delay. The register reflects the state at the moment of the search, not the state at the moment of filing.

Foreign insolvency proceedings are not mirrored in KRZ. Where the issuer has a registered seat outside Poland, the search must include the register of the issuer's home jurisdiction. That search is a separate step.

The limit of what the sources allow

The ceiling of what official Polish registers show is set before any search begins. Registered pledges are visible; unregistered pledges are not. Declared beneficial owners are visible; the accuracy of those declarations is not verified by the register. Insolvency proceedings are visible after processing; filed but unprocessed applications are not. Contractual restrictions on assignment are not registrable and therefore not searchable from any public source.

Where the document is a promissory note (weksel) or a bearer instrument, the register trail is thinner still. There is no central register of promissory notes in Poland. Verification depends on the document itself and on the issuer's register entries.

The report states, at the outset, what each source covers and where it stops. A clean register result is reported as a clean register result — not as a clean title.

Where the sources disagree

KRS may show an entity as active while KRZ shows a restructuring application filed against it. Both entries can be simultaneously current. The discrepancy is not an error — it reflects the processing lag between filing and the KRS annotation. Reporting both results, with their respective retrieval timestamps, is the correct output.

CRBR may show a beneficial owner who no longer holds the declared interest. KRS shareholder lists (lista udziałowców) are updated on a different cycle. Where the two registers diverge, both entries are reported and the divergence is flagged — not resolved.

Frequently asked questions

What if the document has no KW number?

Where the document is not linked to a registered property right, the EKW search does not apply. The report focuses on the issuer registers and the Rejestr Zastawów. The absence of a KW number is noted in the report as a structural fact, not a gap in the search.

Does a clean Rejestr Zastawów result mean the document is unencumbered?

No. It means no registered pledge was found at the time of the search. A civil-law pledge (zastaw zwykły) does not appear in the register. A contractual restriction on assignment does not appear in the register. The report states what was searched and what was found — it does not certify the absence of off-register encumbrances.

How long does the report take?

Signal: typically two to three business days from receipt of the document details and issuer identifier. Standard and Extended: three to five business days. Timing depends on register response times, which vary. An updated estimate is provided at instruction.

What identifier is needed to instruct the report?

For an entity issuer: KRS number or NIP. For an individual issuer: PESEL where available, or full name and date of birth. The KW number is needed only where the document is linked to a registered property right.
