A power of attorney executed in Poland does not appear in any single register. Its collateral value depends on what it authorises, who granted it, and whether any encumbrance already attaches to the underlying asset. This page sets out which official sources establish those facts, what each source costs, and where the verification chain ends.

What the KRS shows
Corporate powers of attorney granted by entities registered in the Krajowy Rejestr Sądowy appear in the entity's KRS extract alongside the signatory's name and scope of authority. Access: free of charge at krs.ms.gov.pl. A certified extract (odpis) costs approximately 30–60 PLN. Source: Krajowy Rejestr Sądowy · verified 2026-05-30
Pledge registers
Two separate systems must be checked. Rejestr Zastawów (Ministry of Justice): certificate per pledgor (DW-1) costs 20 PLN; certificate per object (DW-2) costs 20 PLN. Rejestr Zastawów Skarbowych (Ministry of Finance): search is free; a certified extract costs 50 PLN. Source: Centralna Informacja Zastawów / e-Urząd Skarbowy · verified 2026-05-30
Insolvency status
KRZ (krz.ms.gov.pl) is public, free, and requires no login. Search by NIP, KRS, or PESEL. Covers proceedings opened after 1 December 2021 only. Source: Krajowy Rejestr Zadłużonych · verified 2026-05-30
VAT and bank accounts
Biała lista (podatki.gov.pl) is free and requires no login. It shows VAT status, declared bank accounts, and any deregistration history with dates. Source: Biała lista podatników VAT · verified 2026-05-30

What a power of attorney actually encumbers

A power of attorney is not itself collateral. It is an instrument that may convey authority over an asset that is collateral. The collateral verification question is therefore two-part: first, does the grantor have clear title and an unencumbered position in the underlying asset; second, does the power of attorney grant authority broad enough to bind that asset in a transaction.

For a foreign buyer or lender, both questions must be answered from official sources before any security arrangement is executed. The sections below identify which source answers which part of the question, what it costs to obtain a verified record, and what it does not disclose.

Corporate authority: KRS as the primary source

Where the grantor is a Polish legal entity registered in the KRS, the register shows the entity's representation rules, the names of persons authorised to act, and any restrictions on their authority. A power of attorney granted outside those rules, or signed by a person whose authority has since been revoked, carries no binding effect against third parties who checked the register.

The KRS is free to search and free to download in unverified form. A certified extract (odpis aktualny) carries the court's electronic seal and costs approximately 30–60 PLN per entity. That certified document is the minimum required for collateral purposes; a printout of the online view is not equivalent.

Encumbrances on the underlying asset: two pledge registers

Polish law maintains two separate pledge registers. Neither is visible from the other. A clean result in one does not substitute for a search in the other. Both must be checked before any security arrangement is accepted.

Register Administered by What it shows Search cost Certified document Access
Rejestr Zastawów Ministry of Justice / Centralna Informacja Registered pledges on movable property and transferable rights; pledgor, pledgee, object, amount DW-1 (pledgor): 20 PLN · DW-2 (object): 20 PLN DW-4 odpis: 15 PLN Online via Centralna Informacja Zastawów
Rejestr Zastawów Skarbowych Ministry of Finance / Krajowa Administracja Skarbowa Tax pledges securing unpaid tax liabilities; object, tax authority, amount Free search by object Wypis / zaświadczenie: 50 PLN via e-Urząd Skarbowy Online; certified document requires e-Urząd Skarbowy account

A power of attorney that purports to convey security over an asset already subject to a registered pledge is not void on its face. The encumbrance simply takes priority. Establishing priority requires a dated, certified extract from both registers, not a screenshot of the search result.

Insolvency status of the grantor

A power of attorney granted by an insolvent entity may be ineffective or subject to challenge. The Krajowy Rejestr Zadłużonych (KRZ) is the primary source for proceedings opened after 1 December 2021. It is public, free, and searchable without login by NIP, KRS number, or PESEL.

The Monitor Sądowy i Gospodarczy (MSiG) covers announcements published before December 2021. Its search function at wyszukiwarka-msig.ms.gov.pl is free and covers the archive from 1996. Outputs are PDF only; no machine-readable data is available.

VAT status and declared bank accounts

The Biała lista (White List of VAT taxpayers) is maintained by the Head of the National Revenue Administration. It is free, requires no login, and can be queried on any past date. For collateral purposes, it establishes whether the grantor entity holds active VAT registration, which bank accounts it has declared to the tax authority, and whether it has previously been deregistered and restored.

A payment made to an account not on the Biała lista triggers joint and several VAT liability for the payer. That makes the register directly relevant to any transaction structured around a Polish asset.

Beneficial ownership: CRBR

The Centralny Rejestr Beneficjentów Rzeczywistych (CRBR) is public, free of charge, and requires no account. It shows the declared ultimate beneficial owners of Polish legal entities subject to the reporting obligation. The register reflects what the entity itself has declared; it does not verify the accuracy of that declaration against underlying corporate documents.

Financial statements of the grantor

Filed financial statements are available free of charge through the Repozytorium Dokumentów Finansowych, accessible via the KRS portal. Statements show the entity's reported asset base, liabilities, and equity position for filed periods. Gaps in the filing sequence are themselves a verifiable fact.

The limit of what the sources allow

Several limits apply regardless of what is paid for access. First, the KRZ covers insolvency proceedings opened after 1 December 2021 only. A grantor entity with a proceeding opened before that date will show no record in KRZ. MSiG covers the earlier period but requires a separate search and returns PDF outputs only. A clean result across both sources establishes the absence of a recorded proceeding — it does not establish the absence of a filed application not yet published.

Second, the land register (Elektroniczne Księgi Wieczyste) is searchable only by the land register number (numer KW). Search by owner name is not available to private parties. Establishing the numer KW requires access to the ewidencja gruntów i budynków, which in turn requires the property's cadastral identifier. A foreign verifier without that identifier cannot reach the land register record directly.

Third, the CRBR records declared beneficial owners. It does not verify the accuracy of those declarations. Where the ownership chain runs through foreign entities, the Polish CRBR entry reflects what the Polish entity has reported — not what foreign registers confirm. That gap is named here, not resolved by any Polish official source.

Where the sources disagree

Discrepancies between sources are themselves a finding. Common patterns in Polish collateral review include: a KRS extract showing one set of authorised signatories while the power of attorney bears a different name; a Biała lista entry showing a bank account that does not match the account in the transaction documents; and a CRBR declaration of beneficial ownership that diverges from the ownership structure visible in KRS Gesellschafterlisten equivalents.

Each discrepancy is documented and presented as a finding, not resolved by the report. Resolution requires instruction from the party relying on the document.

Frequently asked questions

Does a notarised power of attorney appear in any Polish register?

No. Notarised powers of attorney are held in notarial records, which are not publicly searchable. The only register that records authority to act is the KRS, and only for entities registered there. For individuals and for entities not registered in the KRS, no public register records the existence or scope of a power of attorney.

Can a foreign lender search the Polish pledge registers directly?

The Rejestr Zastawów search interface is accessible online. However, it requires the Polish NIP or PESEL of the pledgor, or the precise description of the pledged object, to return a result. A foreign party without those identifiers cannot conduct a meaningful search without preliminary research into the grantor's Polish registration details. The Rejestr Zastawów Skarbowych similarly requires the object's identifying details.

What is the difference between a KRS printout and a certified extract?

A KRS printout downloaded from krs.ms.gov.pl is an informational document. It carries no court seal and is not accepted as evidence of current registration status in formal proceedings or by most institutional counterparties. A certified extract (odpis aktualny) bears the court's electronic seal, carries a date of issue, and reflects the register state at that date. For collateral purposes, the certified extract is the minimum acceptable document.

Does the CRBR record verify actual ownership?

No. The CRBR records what the obligated entity has declared. There is no official mechanism that verifies that declaration against underlying corporate documents or foreign registers. Where ownership runs through a foreign holding entity, the CRBR entry reflects the Polish entity's report of that structure — not a verified chain of title.

How recent are the financial statements available through the KRS repository?

Statements are available for periods that the entity has filed. Filing deadlines vary by entity type. Gaps in the sequence — years for which no statement appears — are a verifiable fact. The repository does not explain the absence of a filing; that determination requires separate analysis.
