Polish intellectual property registers are maintained by the Patent Office of the Republic of Poland (Urząd Patentowy RP). For a foreign buyer or lender treating IP as collateral, two questions matter: what encumbrances already attach to the asset, and what the register confirms about ownership and validity. Both questions have answers in official sources. The ceiling of those answers is stated below before any engagement.

What Polish IP registers cover and what they omit
The Patent Office maintains separate registers for patents, utility models, trademarks (national and EU designations with effect in Poland), industrial designs, and topographies of integrated circuits. Each register entry records the right holder, the registration number, the filing date, the grant or registration date, the renewal schedule, and any recorded transfers of title. Lapse for non-payment of renewal fees is also recorded, making it possible to establish whether a right remains in force on a specific date.
For collateral purposes, the critical gap is the distinction between registered and unregistered licences. A licence agreement that is not registered with the Patent Office does not appear in the register. An unregistered exclusive licence may still bind a successor in title under Polish IP law — but the register will not disclose it. This is the most significant limit of the source for a lender relying on IP as security.
A second gap concerns EU trade marks and Community designs. Rights registered at EUIPO (Alicante) have effect in Poland without appearing in the Polish national register. Collateral analysis of a Polish entity's IP portfolio must therefore cover both the national register and EUIPO records.
Pledge and encumbrance registers: two systems, one profile
Poland operates two separate pledge registers, and a complete encumbrance check requires both.
The Rejestr Zastawów, administered by the Ministry of Justice through Centralna Informacja, covers registered pledges (zastawy rejestrowe) over movable assets and rights, including IP rights. A search by subject matter (DW-2 certificate) costs 20 PLN. A search by pledgor (DW-1 certificate) also costs 20 PLN. A certified extract (DW-4) costs 15 PLN per pledge entry. These fees apply per certificate; a single IP asset may generate multiple entries if it has been pledged more than once.
The Rejestr Zastawów Skarbowych, administered by the Ministry of Finance, covers fiscal pledges arising from unpaid tax liabilities. A subject-matter search is free. A certified wypis or zaświadczenie costs 50 PLN, obtained through e-Urząd Skarbowy. Fiscal pledges attach by operation of law and may encumber IP rights without any contractual act by the right holder.

Company standing and insolvency status of the IP holder
The value of IP as collateral depends partly on the solvency of the entity holding it. Two free registers are relevant.
The Krajowy Rejestr Sądowy (KRS) is accessible without charge or registration. It shows the company's registration status, share structure, management board, and any pending dissolution or liquidation proceedings. A certified odpis costs between 30 and 60 PLN but is not required for a factual check. Financial statements filed with the Repozytorium Dokumentów Finansowych are also available free of charge and provide the balance-sheet context for the IP valuation.
The Krajowy Rejestr Zadłużonych (KRZ, krz.ms.gov.pl) is the insolvency and restructuring register. It is public, free, and requires no login. Search is by NIP, KRS number, or PESEL. The critical limit: KRZ contains only proceedings opened after 1 December 2021. Absence of a KRZ entry does not exclude earlier insolvency proceedings. For entities with history before that date, the Monitor Sądowy i Gospodarczy (MSiG) archive, searchable free of charge at wyszukiwarka-msig.ms.gov.pl, must also be checked.
VAT status and tax compliance of the right holder
The Biała lista podatników VAT (podatki.gov.pl, maintained by the Head of KAS) is free and requires no login. It confirms VAT registration status, the company's registered bank accounts, and the reasons for any deregistration or reinstatement with dates. The register allows historical checks on any past date. For a lender, this confirms whether the IP-holding entity is operating as a registered VAT taxpayer — relevant both for the entity's trading status and for any royalty payment structure.
EUIPO and international registrations: the parallel layer
A Polish entity may hold EU trade marks, Community designs, or international registrations (Madrid Protocol for marks, Hague System for designs) that are effective in Poland but do not appear in the Polish national register. EUIPO's eSearch database and WIPO's Global Brand Database are the relevant sources. Neither requires registration or payment for a search. A complete IP collateral profile for a Polish entity requires all three layers: Polish national register, EUIPO, and WIPO international registrations designating Poland or the EU.
The limit of what the sources allow
The Polish IP register confirms ownership of record and registration status. It does not confirm economic value, market position, or enforceability of the right in any particular territory. It does not show unregistered licences, whether exclusive or non-exclusive. It does not show contractual restrictions on transfer or pledge that are not recorded with the Patent Office. It does not show whether a right is the subject of a dispute in a foreign jurisdiction.
The pledge registers show registered encumbrances. A pledge created under foreign law and not registered in Poland will not appear. A pledge that was discharged but where the cancellation entry has not yet been processed will still appear as active. An informal security arrangement — a contractual right of retention or an assignment by way of security — will not appear in either pledge register.
The insolvency register (KRZ) covers proceedings from December 2021. The MSiG archive covers earlier announcements but is in PDF format with no machine-readable data. Neither source covers foreign insolvency proceedings that have not been recognised in Poland. The combined picture from all sources described on this page establishes what the public record shows — not what the full factual and legal position is.
Where the sources disagree
Discrepancies between the Polish national IP register and EUIPO records are not uncommon where a transfer of title has been recorded in one register but not yet in the other. A right holder named in the Polish register may differ from the holder of record at EUIPO for the same mark. This discrepancy is itself a material fact for collateral purposes: a pledge over a right whose ownership record is inconsistent across registers creates title risk that is not resolved by either register alone.
A second category of discrepancy arises between the KRS (company register) and the IP register when a corporate restructuring — merger, demerger, or assignment — has been completed at the company level but the IP register has not been updated to reflect the new right holder. The IP register entry will show the predecessor entity as owner. This is not an error in either register; it is a timing gap that a collateral review must identify and flag.

Frequently asked questions
Can a pledge over a Polish IP right be created without appearing in the Rejestr Zastawów?
Yes. An assignment by way of security (przelew na zabezpieczenie) and certain contractual retention rights do not require registration in the Rejestr Zastawów to be effective between the parties. The pledge register shows only registered pledges (zastaw rejestrowy). A clean result in that register does not exclude unregistered security arrangements.
Does the Polish IP register show whether a right is being challenged?
Pending opposition and invalidation proceedings before the Patent Office are recorded. Proceedings before the Voivodeship Administrative Court (WSA) or the Supreme Administrative Court (NSA) challenging Patent Office decisions are not shown in the IP register. Those proceedings appear in court records, which require a separate search.
What identifier is needed to search the pledge registers?
A search by pledgor (DW-1) requires the pledgor's NIP or PESEL. A search by subject matter (DW-2) requires a description of the asset — for an IP right, the registration number. A foreign buyer conducting due diligence will typically have the registration number from the IP register but may not hold the NIP of the Polish entity without a KRS extract.
Is there a single database covering all Polish IP rights?
No. The Patent Office maintains separate registers for each right type. There is no consolidated Polish national database. For a portfolio covering multiple right types, each register must be searched separately. EUIPO and WIPO records form additional layers that are not integrated with the Polish national system.
