Księgi Wieczyste — Poland's land and mortgage register — is the primary source for establishing what encumbers a property and who holds registered title. A foreign buyer or lender verifying Polish collateral must understand both what the register discloses and where its disclosure ends. This page sets out those boundaries before any work begins.

What it does not show
Pledges registered in Rejestr Zastawów, fiscal pledges in Rejestr Zastawów Skarbowych, and tax liabilities are not visible in Księgi Wieczyste. A clean KW entry is not a clean encumbrance profile.

The collateral picture: four registers, not one

Polish law distributes security interests across separate registers. Relying on Księgi Wieczyste alone produces an incomplete encumbrance profile. A lender or buyer treating a clean KW as a clean asset is missing at least three additional layers of potential claims.

How to reach the KW number

EKW is free, but it requires the KW number as the entry point. That number does not appear on a sales contract or company balance sheet by default. It must be sourced from ewidencja gruntów i budynków — the land and buildings cadastre — using the plot identifier (numer działki) and commune (gmina). This two-step path is the practical barrier for a foreign party without local access.

Once the KW number is obtained, the online register displays all four sections: ownership (Dział II), encumbrances and restrictions (Dział III), and mortgages (Dział IV). Entries in Dział III include easements, pre-emption rights, and administrative restrictions. Each entry carries a date of registration and a reference to the underlying document.

Mortgage entries: what the register records and what it omits

Dział IV of the KW records each hipoteka with creditor name, secured amount, currency, and legal basis. A mortgage entered in this section binds any subsequent purchaser. Priority among mortgages follows order of registration, not order of the underlying debt.

The register does not show the current outstanding balance of a mortgage. It records the ceiling amount at the time of entry. A mortgage of PLN 10 million may secure a debt that has been partially repaid — or one that has been topped up within the contractual limit. The register gives the registered ceiling, not the live exposure. Verifying the actual outstanding amount requires direct communication with the creditor or review of the underlying loan documentation.

Mortgages established under older legal frameworks may appear with different designations. The 2011 amendment to the Land and Mortgage Register Act unified the mortgage instrument, but pre-2011 entries remain with their original characterisation. Reading these entries correctly requires knowledge of the transitional provisions.

Pledges: the encumbrance layer outside Księgi Wieczyste

A registered pledge (zastaw rejestrowy) under the 1996 Act on Registered Pledges and the Pledge Register does not appear in Księgi Wieczyste. It is recorded in the Rejestr Zastawów maintained by Centralna Informacja (Ministry of Justice). A pledge can encumber machinery, inventory, receivables, shares, or intellectual property rights. None of these appear in the KW.

The Rejestr Zastawów can be searched by debtor identity (certificate DW-1, 20 PLN) or by the pledged asset (certificate DW-2, 20 PLN). A certified extract of a specific entry costs 15 PLN (DW-4). Both searches are necessary for a full pledge profile: a debtor may have pledged assets not identified by the asset-level search, and an asset may carry a pledge not visible in the debtor-level search if the debtor's identity data has changed.

The Rejestr Zastawów Skarbowych records fiscal pledges arising by operation of tax and customs law. These arise automatically once the tax authority issues a decision establishing a liability above the statutory threshold. The asset owner does not register the pledge; the authority does. Search is free; a certified statement costs 50 PLN via e-Urząd Skarbowy. A property or equipment item may carry a fiscal pledge that predates any voluntary security arrangement and takes priority over it in enforcement.

Insolvency status of the counterparty

KRZ (Krajowy Rejestr Zadłużonych) is public and free, accessible without login at krz.ms.gov.pl. It records insolvency and restructuring proceedings opened from 1 December 2021 onward. Search runs by NIP, KRS, PESEL, or case reference number.

KRZ replaced the former Rejestr Dłużników Niewypłacalnych. Proceedings opened before December 2021 were published in Monitor Sądowy i Gospodarczy (MSiG). The MSiG archive is searchable at wyszukiwarka-msig.ms.gov.pl, free of charge, covering publications from 1996. However, insolvency announcements from December 2021 onward migrate to KRZ, not MSiG. A complete insolvency check for a counterparty with a long operating history requires both databases.

VAT status and bank accounts: the Biała Lista

The Biała Lista (White List of VAT Taxpayers), maintained by the Head of KAS at podatki.gov.pl, records VAT registration status, company identifiers, and — critically — the bank accounts declared by the entity to the tax authority. The list is free, requires no login, and can be queried for any historical date.

For a lender or buyer, the Biała Lista serves two functions. First, it confirms that the counterparty is a registered VAT payer at the relevant date. Second, it identifies which bank accounts are known to the tax authority. A payment made to an account not on the list triggers joint VAT liability for the payer under Polish law. That mechanism makes the Biała Lista a due diligence requirement, not an optional check.

Corporate structure and filed financials

KRS (Krajowy Rejestr Sądowy) is free to search. It records directors, registered address, share capital, and filed documents. Certified extracts cost in the range of 30–60 PLN. Financial statements filed with the Repozytorium Dokumentów Finansowych are free to download.

CRBR (Centralny Rejestr Beneficjentów Rzeczywistych) — Poland's beneficial ownership register — is public and free, accessible without an account. It records the natural persons identified as ultimate beneficial owners by the reporting entity. The register reflects what the entity has declared; it does not independently verify the accuracy of those declarations.

The limit of what the sources allow

The ceiling of what the sources allow is stated here before any work begins. Księgi Wieczyste shows registered mortgages — not the current outstanding balance, not pledges in Rejestr Zastawów, and not fiscal pledges in Rejestr Zastawów Skarbowych. A KW entry with no mortgages does not mean the asset is unencumbered. It means no hipoteka has been registered against that property number.

EKW requires the KW number as the entry point. Without it, the register cannot be searched. The KW number is not publicly searchable by owner name for private parties — it must be derived from cadastral data, which requires a separate query to ewidencja gruntów. This is the structural barrier for a foreign party working remotely.

KRZ covers proceedings from December 2021. Earlier insolvency history requires a separate MSiG search. Neither database guarantees that a filing made today is already indexed — processing delays exist. An absence of a KRZ entry is not a clean insolvency confirmation; it is a confirmation that no proceeding appears in the database as of the search date. CRBR records declared beneficial owners; it does not verify those declarations against shareholding agreements or trust arrangements that have not been disclosed to the reporting entity.

Where the sources disagree

Discrepancies between registers are a result in themselves. KRS may show a director who no longer appears in internal company documents. CRBR may show a beneficial owner whose shareholding has changed but whose update has not been filed within the statutory deadline. KW ownership may show a seller who has transferred the asset under a notarial deed that has not yet been submitted for registration — Polish law transfers ownership on the notarial deed, not on KW registration. The gap between deed date and KW entry date creates a window of risk.

Where the Rejestr Zastawów shows a pledge over an asset that does not appear in the seller's disclosed liabilities, that discrepancy requires explanation before any transaction closes. The pledge register entry binds third parties from the date of registration, regardless of whether the buyer was aware of it.

Frequently asked questions

Can Księgi Wieczyste be searched by owner name?

No. EKW is searchable only by the KW number. Search by owner name is restricted and not available to private parties through the public portal. The KW number must be obtained from cadastral records (ewidencja gruntów i budynków) using the plot identifier and commune.

Does a mortgage in Dział IV show the current debt outstanding?

No. Dział IV records the registered ceiling amount, creditor, and currency at the time of entry. The current outstanding balance is not shown. It requires direct confirmation from the creditor or review of the underlying loan documentation.

Is a clean KW entry sufficient to confirm no encumbrances?

No. Pledges under the Registered Pledges Act appear in Rejestr Zastawów, not in KW. Fiscal pledges appear in Rejestr Zastawów Skarbowych. Neither is visible in Księgi Wieczyste. A complete encumbrance check requires all three registers.

What does KRZ cover?

KRZ covers insolvency and restructuring proceedings opened from 1 December 2021. Earlier proceedings were published in MSiG. A full insolvency history check for an entity with pre-2021 activity requires both KRZ and the MSiG archive.

Why does CRBR data need independent verification?

CRBR records what the entity has declared. It does not verify those declarations against shareholding agreements, trust deeds, or nominee arrangements. Discrepancies between CRBR data and actual ownership structure exist and are not detectable from the register alone.
