A foreign buyer or lender examining Polish commercial property faces one structural question before any other: what already encumbers the asset, and who actually controls the entity that holds it. The Krajowy Rejestr Sądowy (KRS) is the primary statutory register for legal persons in Poland. It records the ownership structure of the corporate seller, its registered capital, management board composition, and — critically for collateral assessment — any encumbrances that have been formally filed against the entity. This page sets out what the register discloses, what it does not, and what a structured verification costs.

What the KRS discloses — and what it does not
KRS records the formal ownership structure of Polish capital companies and other legal persons. For a limited liability company (sp. z o.o.), the register shows shareholders by name, their share counts, and total registered capital. For a joint-stock company (S.A.), bearer shares issued before dematerialisation may not appear individually. The register also records whether any pledge has been registered against shares (zastaw na udziałach), the appointment and powers of the management board, and any ongoing liquidation or restructuring status.
KRS does not show the market value of the underlying property. It does not show the current balance of any loan secured against the real estate itself — that encumbrance sits in the land and mortgage register (księga wieczysta), not in KRS. A company may appear unencumbered in KRS while its sole asset, the commercial property, carries a mortgage recorded in a separate register under a separate number.
The pledge registers: two systems, one profile
Polish law maintains two distinct pledge registers. The Rejestr Zastawów, administered by the Ministry of Justice through Centralna Informacja, records registered pledges (zastaw rejestrowy) on movable assets and rights, including shares. A subject-based search certificate (DW-2) costs 20 PLN; a certified copy of a pledge entry (DW-4) costs 15 PLN. The Rejestr Zastawów Skarbowych, administered by the Ministry of Finance, records fiscal pledges arising from unpaid tax liabilities. Search is free via e-Urząd Skarbowy; a certified statement costs 50 PLN.
Neither register feeds the other. An asset may carry a registered pledge in one system and a fiscal pledge in the other simultaneously. A collateral assessment that checks only one register is structurally incomplete.
Land and mortgage register: the property-level encumbrance
The electronic land and mortgage register (Elektroniczna Księga Wieczysta, EKW) is free to view. Access requires the KW number of the specific register. Private individuals cannot search by owner name — the system does not permit it. The path to the KW number runs through the cadastral record (ewidencja gruntów i budynków), which identifies the parcel and links to the KW entry. Without the KW number, the mortgage register is inaccessible by standard means.
The land register shows all mortgages, their amounts and currency, the creditor, and the priority ranking between competing charges. It also shows any usufruct rights, easements, or other encumbrances that have been formally registered. It does not show encumbrances that exist by operation of law but have not been entered — for example, certain tax liens that arise automatically before fiscal pledge registration.
Insolvency and restructuring: the KRZ boundary
The National Restructuring and Insolvency Register (KRZ, krz.ms.gov.pl) is public, free, and requires no login. It is searchable by NIP, KRS number, PESEL, or case signature. KRZ replaced the former Register of Insolvent Debtors and has been the mandatory publication platform for insolvency and restructuring proceedings since 1 December 2021.
A negative result in KRZ does not exclude earlier proceedings. Cases opened before 1 December 2021 were published in the Monitor Sądowy i Gospodarczy (MSiG). The MSiG archive is publicly searchable back to 1996 via wyszukiwarka-msig.ms.gov.pl. Outputs are PDF; there are no machine-readable structured data exports. Proceedings that closed before the KRZ cutoff date will not appear in KRZ regardless of their outcome.
Beneficial ownership: CRBR
The Central Register of Beneficial Owners (CRBR) is public and free, accessible without registration. It shows the declared ultimate beneficial owner of Polish legal persons — name, nationality, PESEL where applicable, and the nature of control. The register shows what the entity has declared. It does not independently verify the declaration against the actual shareholding chain. Where the chain passes through a foreign holding company, CRBR will show the individual named by the Polish entity; verification of the foreign link requires the register of the relevant jurisdiction.
VAT status and bank account verification
The White List (Biała lista podatników VAT), maintained by the Head of the National Revenue Administration (KAS) at podatki.gov.pl, is free and requires no login. It shows the entity's current VAT status, registered business address, NIP, and — critically for transaction security — all bank account numbers declared to the tax authority. The list can be queried for any past date. A payment made to an account not appearing on the White List on the payment date exposes the payer to joint and several VAT liability under Polish tax law.
Financial statements: filed disclosures
Annual financial statements filed with KRS are available free of charge through the Financial Documents Repository (Repozytorium Dokumentów Finansowych). Not all Polish entities are subject to the same filing obligations. Sole traders and certain partnerships are not required to file through KRS. Where statements are filed, they appear as scanned documents or structured XML depending on the filing year and entity type. The repository does not contain management accounts, interim statements, or any financial information that the entity was not required to file.
The limit of what the sources allow
Each register described on this page is maintained by a separate authority and updated independently. KRS records formal ownership; EKW records property-level encumbrances; Rejestr Zastawów and Rejestr Zastawów Skarbowych record pledges on assets and rights; KRZ records insolvency proceedings opened after December 2021; MSiG covers the period before that. No single register consolidates all of these. A query confined to one register produces a partial picture — structurally, not incidentally.
The sources establish what has been formally registered. They do not establish what has been agreed but not yet registered, what is in the process of being registered, or what encumbrances arise by operation of law without a registration requirement. An oral pledge agreement, a pending mortgage application, or an unregistered fiscal lien in its early stage will not appear in any of these registers. The sources also do not show the current market value of the property or the remaining balance of any debt secured against it — those figures require direct inquiry to the creditor or an independent valuation.
Where the shareholding chain passes through a foreign entity, the KRS entry for the Polish company will show that foreign entity as shareholder. The structure of the foreign entity — its own shareholders, encumbrances on its shares, and beneficial ownership — is governed by the law of its jurisdiction of incorporation. CRBR will show the declared beneficial owner of the Polish entity, but the declaration rests on the Polish entity's own submission. Independent verification of the foreign link requires the register of the relevant jurisdiction, which may impose its own access conditions.
Where the sources disagree
The most common discrepancy encountered in Polish commercial property verification is between the KRS shareholder list and the CRBR beneficial ownership declaration. KRS shows the registered shareholder; CRBR shows the declared ultimate beneficial owner. Where a foreign holding company appears in KRS as shareholder, CRBR will show an individual as UBO. If the foreign holding company itself has multiple shareholders, the CRBR entry reflects the Polish entity's declaration, not an independently verified chain. The two registers may be consistent with each other and both be incomplete relative to the actual control structure.
A second common discrepancy arises between the filed financial statements in the Repozytorium Dokumentów Finansowych and the encumbrances visible in EKW. A balance sheet may show a long-term liability corresponding to a mortgage; the EKW entry for that mortgage may show a different principal amount, a different creditor, or a different currency. The discrepancy is not necessarily an error — it may reflect partial repayment, currency conversion, or a refinancing that was registered in EKW but not yet reflected in the most recent filed accounts. Establishing which figure is current requires direct inquiry to the creditor or a notarial statement from the mortgagee.

Frequently asked questions
KRS is free. What does the report add?
KRS is publicly accessible at no charge. The report provides the retrieval path — the KRS entity number, the correct module within the register, the cross-reference to CRBR, and the translation of Polish-language entries into a structured English-language summary. It also cross-references KRS against the pledge registers and insolvency databases, which are separate systems requiring separate queries. A foreign buyer without a Polish NIP, Polish-language capability, and familiarity with the register structure faces a path that the report removes.
What is the KW number and why does it matter?
Every parcel of real property in Poland is assigned a unique land register number (numer księgi wieczystej, KW number). The electronic land register (EKW) is searchable only by this number. Without it, the mortgage register cannot be accessed by standard means. The KW number is obtained from the cadastral record (ewidencja gruntów), which requires the parcel identifier. Standard and Extended tiers include this retrieval step.
What does a negative KRZ result mean?
A negative result in KRZ means no insolvency or restructuring proceeding has been opened against the entity and published in KRZ since 1 December 2021. It does not exclude proceedings that were opened before that date, proceedings that were opened and closed before the KRZ cutover, or proceedings in their earliest pre-publication stage. The Standard and Extended tiers include an MSiG archive search to address the pre-2021 gap.
Does the report cover the property itself or the company that owns it?
Signal tier covers the company: its ownership structure, insolvency status, VAT standing, and declared beneficial owner. Standard and Extended tiers extend to the property: the mortgage register entry, registered pledges on assets, and filed financial statements. The property and the company are recorded in separate registers; both must be checked to form a complete collateral picture.
How is the report delivered?
Reports are delivered in English by email as a PDF document. Certified register excerpts obtained in connection with the Extended tier are provided as originals or certified scans. The Signal tier is delivered within three business days of receipt of the entity identifiers. Standard within five business days. Extended within ten business days.
